These Terms and Conditions ("Terms") govern the access and use of Nexsti, the School ERP Software-as-a-Service (SaaS) platform operated by Flione Innovation and Technologies Private Limited ("Flione", "we", "our", or "us"). By using Nexsti, you (“you”, “User”, “Institution”, or “Authorized User”) agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the platform.

1. Definitions

  • “Platform” or “Service”: Refers to Nexsti, including the web application, mobile app, features, and APIs.

  • “Institution”: The school or educational organization subscribing to the platform.

  • “Authorized Users”: Staff, students, and parents permitted by the Institution to access the platform.

  • “Subscriber”: The Institution that enters into a subscription agreement with Flione for use of Nexsti.

2. Scope of Service

Nexsti provides an online ERP system for schools to manage academics, administration, communication, and operations. The service includes modules such as attendance, timetable, results, fee management, communication, and more.

We offer the Service in a hosted (cloud-based) model, accessible via web and mobile.

3. User Accounts

  • Each user must have a valid login ID and password.

  • Institutions are responsible for maintaining user access permissions.

  • Users must not share credentials or access accounts other than their own.

  • Users must notify their institution or Flione immediately of unauthorized use or breach.

4. Subscription & Payment

  • The SaaS service is offered on a subscription basis, agreed upon in a separate invoice or agreement.

  • Subscription fees are billed monthly, quarterly, or annually depending on the selected plan.

  • Non-payment or delayed payment may result in suspension or termination of services.

  • All fees paid are non-refundable unless otherwise specified.

5. Data Ownership

  • The data uploaded by the Institution, including student and staff data, remains the property of the Institution.

  • Flione does not claim ownership over institutional data.

  • We will not sell, share, or use data for unauthorized purposes.

  • Institutions may request full data export at any time during their active subscription.

6. Privacy & Data Protection

Our use of data is governed by our Privacy Policy.
We take all reasonable steps to protect the confidentiality, integrity, and security of user data.

7. License & Usage Restrictions

  • Flione grants the Institution a non-exclusive, non-transferable, revocable license to use the software during the subscription period.

  • Users may not reverse-engineer, copy, resell, or modify the platform.

  • Users may not use the platform for any unlawful purpose or to harm others.

8. Availability & Support

  • Nexsti aims to provide 99.5% uptime (excluding planned maintenance or force majeure).

  • Support is available via email, call, or WhatsApp during business hours.

  • Critical issues will be addressed with priority, and updates may be rolled out without prior notice.

9. Termination

Flione may suspend or terminate access in the following cases:

  • Violation of these Terms

  • Failure to pay subscription fees

  • Misuse or unauthorized access

  • Request from the institution

Upon termination, all platform access will be revoked. Institutions can request data backup within 15 days of termination.

10. Limitation of Liability

To the maximum extent permitted by law, Flione will not be liable for:

  • Any indirect or incidental damages arising from the use of the platform

  • Data loss due to user error, internet issues, or external attacks

  • Service interruption caused by factors beyond our control

Total liability is limited to the subscription amount paid in the previous 3 months.

11. Modification of Terms

We reserve the right to update or modify these Terms at any time. Updates will be published on our website or notified via email. Continued use of the service implies acceptance of the updated terms.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of [Your City/State].
